These Terms and Conditions ("Terms") form a legally binding agreement between you and Crinoid Technologies Pvt. Ltd. ("Company", "IPR Manager", "we", "our", or "us"). They govern your access to and use of IPR Manager, including the website, software application, optional Chrome browser extension (IPO Autofill), subscription features, account areas, billing flows, notifications, hosted infrastructure, support channels, and any related services that we make available from time to time (collectively, the "Services").
For the purpose of these Terms, "you", "your", "User", "Customer", or "Organization" means the natural person, company, law firm, partnership, proprietorship, institution, or other legal entity accessing or using the Services. If you access or use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include that organization.
By accessing, browsing, registering for, subscribing to, inviting others to, paying for, or otherwise using the Services, you confirm that you have read, understood, and agreed to these Terms, the Privacy Policy, the Refund and Cancellation Policy, and any other policies or notices that are incorporated by reference or shown to you in-product. If you do not agree, you must not access or use the Services.

2. Eligibility, Authority, and Account Information
The Services are intended for users who are at least eighteen (18) years old and who have the legal capacity to enter into binding agreements. By using the Services, you represent that you meet this requirement, that the information you provide to us is true, accurate, current, and complete, and that your use of the Services will comply with applicable laws, professional obligations, and internal authorization requirements.
Where you use the Services for a law firm, intellectual property practice, company, or other organization, you are responsible for ensuring that the organization has authorized the account creation, subscription, data upload, client sharing, billing mandate, and any other action you perform through IPR Manager. We are entitled to rely on actions taken through your account or through an organization administrator account as authorized actions of that account or organization, unless we have received clear notice of unauthorized access and have had a reasonable opportunity to act on it.
You are responsible for maintaining the confidentiality of your login credentials, devices, browser sessions, and access methods. You are also responsible for all activity that occurs through your account, including activity by invited users, organization members, administrators, clients, contractors, employees, or any other person to whom you grant access. You must notify us promptly if you suspect unauthorized access, credential compromise, or any other security issue affecting your account or organization workspace.
3. Nature and Scope of the Services
IPR Manager is a software-as-a-service platform intended to support patent case management workflows for Indian Patent Office filings and related intellectual property operations. The platform may include case records, dossier fields, party records, forms and milestone tracking, deadline surfacing, renewal tracking, agent profiles, organization workspaces, client portal access, document storage, document sharing, billing and subscription tools, email notifications, dashboards, analytics, support features, an optional IPO Autofill Chrome browser extension for staff users, and other operational functionality.
The Services are designed to help users organize information and workflows. They do not replace professional judgment, independent review, legal advice, filing strategy, official government records, or any statutory obligation that applies to a practitioner, applicant, company, client, or organization. You remain responsible for checking the accuracy of every record, date, filing status, document, communication, and deadline before relying on it.
Certain features may be available only on specific subscription plans or during a trial period. For example, the current product distinguishes between Starter, Professional, and Firm plan behavior, and some features such as the case document vault, client sharing, firm analytics, bulk export, or multi-seat organization features may be limited, unavailable, or subject to additional plan conditions. The product may also contain features that are visible in roadmap, stub, beta, limited release, or non-production form. Unless we expressly state otherwise, access to a feature in the interface does not create a guarantee that the feature will remain available, work without interruption, or be made generally available.
We may modify, enhance, suspend, restrict, replace, remove, discontinue, rename, or change any portion of the Services from time to time. We may do this for product development, security, compliance, operational, billing, third-party provider, or business reasons. Where a change materially affects paid access, we will handle the change in accordance with applicable law and the terms shown in-product, but we do not guarantee that every current feature, workflow, interface, or integration will remain unchanged.
IPO Autofill (Chrome extension)
The Services may include an optional Chrome browser extension branded IPR Manager — IPO Autofill that helps authorised staff users transfer case data from IPR Manager into the official IP India e-filing portal at https://ipronline.ipindia.gov.in/.
The extension is assistive and user-initiated. It does not file applications, pay fees, or submit government forms on your behalf without your explicit actions in the browser. It is not a substitute for the government portal, independent professional review, or official records. Client portal accounts are not supported.
Access to case data through the extension is subject to the same permissions and organization rules as the web application, enforced on our servers. You are solely responsible for reviewing every field on the portal before saving, paying, or submitting. We are not liable for incorrect autofill, omitted fields, portal outages, government system changes, or filing outcomes arising from use of the extension, except to the extent liability cannot be excluded under applicable law.
Installation and use of the extension may also be subject to Google Chrome and Chrome Web Store terms. We may modify, restrict, or discontinue the extension for security, compliance, or product reasons. See the Privacy Policy for data practices.
AI Features and Desk AI Tools
The Services include AI-assisted features (such as AI Patent Drafting, claims expansion, invention brief extraction, Desk AI suggestions, office action response drafting, quality checks, and text enhancement) designed to assist patent practitioners with document creation and matter analysis.
Assistive tools: AI features are software tools designed to produce preliminary draft content based on inputs you provide. They do not operate autonomously, do not perform independent patentability determinations, and do not execute government filings without explicit user review and submission.
Zero AI Model Training Guarantee: We contractually guarantee through enterprise agreements with our AI infrastructure providers that your User Content, disclosures, notes, claims, specifications, AI prompts, and generated outputs are NEVER used to train, retrain, or fine-tune any public, foundation, or third-party AI models.
Ownership of AI Outputs: Subject to these Terms and your account compliance, as between you and IPR Manager, you retain all rights and ownership in the outputs, claims, and specifications generated by AI features using your User Content.
4. No Legal, Patent, Trademark, or Professional Advice
IPR Manager is a technology platform. It is not a law firm, patent agent, trademark agent, patent office, filing authority, professional services firm, or legal representative. We do not provide legal advice, patentability opinions, trademark advice, filing strategy, validity advice, freedom-to-operate advice, prosecution advice, regulatory advice, legal review, professional certification, or government filing services.
Nothing in the Services, including templates, generated documents, pre-filled forms, AI-generated drafts or claims, IPO Autofill extension transfers, reminders, deadline calculations, dashboard cards, notifications, help text, emails, import tools, or support communication, should be interpreted as legal advice or as a substitute for review by a qualified professional. Use of the Services does not create an attorney-client relationship, fiduciary relationship, agency relationship, consultancy relationship, or professional-client relationship between you and the Company.
AI Output Disclaimer & Mandatory Human Review: AI-generated content (including drafted specifications, generated patent claims, invention summaries, deskAi suggestions, and prosecution responses) is produced using statistical language models. AI outputs may contain inaccuracies, omissions, outdated legal references, incomplete claim scopes, or technical hallucinations. You and your authorized patent professionals retain sole legal, professional, and ethical responsibility for reviewing, validating, editing, and verifying all AI-generated text before using it for client advice, patent applications, office action responses, or any official submission to the Indian Patent Office (IPO) or any other authority. IPR Manager expressly disclaims all liability for errors, scope defects, or invalid claims contained in unverified AI outputs.
You are solely responsible for deciding what to file, when to file, whether a deadline applies, whether a renewal is due, whether a document is complete, whether a government form or AI draft has been correctly prepared, whether a case status is accurate, whether a client should receive access, and whether any action should be taken. You are also responsible for confirming all statutory deadlines, official filings, fee payments, renewals, responses, communications, and procedural requirements with the relevant authority or qualified professional.
To the maximum extent permitted by law, we will not be responsible for missed deadlines, filing errors, rejected applications, abandoned rights, lapsed patents, incorrect records, inaccurate imports, incorrect status changes, incomplete documents, AI output errors or hallucinations, failure to file, failure to renew, loss of intellectual property rights, regulatory penalties, client disputes, commercial consequences, or any other outcome arising from reliance on the Services without independent verification.
5. Accounts, Organizations, Roles, and Client Portal Access
Users may create accounts individually or as part of an organization workspace. A solo practitioner workspace is controlled by the signed-in user who owns that workspace. An organization workspace may include members, administrators, and an organization owner. The organization owner is the user identified in the product records as responsible for owner-level actions such as certain billing and deletion operations. The product may not display "owner" as a role label, but the owner identity is relevant for specific system permissions.
Organization administrators are responsible for managing organization access. This includes inviting users, assigning roles, reviewing membership, revoking access, choosing who can see cases, assigning case visibility, managing agent profiles where permitted, maintaining organization information, and ensuring that all users they invite are authorized to access the information made available to them. Members may have more limited visibility and may see only the cases or deadline information assigned to them, depending on product configuration and applicable permissions.
The Services may include a client portal for non-staff users. A client portal user may be invited by a staff user and may receive limited read-only access to selected case information and documents that staff users choose to share. Client portal access is not a general organization account and does not permit the client to create, edit, delete, or manage staff records. Staff users and organizations remain responsible for deciding whether a client should be invited, which cases should be linked, which documents should be shared, and whether that sharing is lawful and appropriate.
We do not independently verify whether an organization administrator, staff user, or account holder has made the correct sharing decision. We are not responsible for unauthorized sharing initiated by users, accidental disclosure caused by an organization, access granted to the wrong email address, internal disputes between staff members, misuse by invited users, client misuse, employee actions, delayed revocation, or credential compromise, except to the extent liability cannot be excluded under applicable law.
We may suspend, restrict, or terminate account or organization access if we reasonably believe that identity information is inaccurate, suspicious activity has occurred, credentials have been compromised, payment obligations are unresolved, the account presents a security risk, applicable law requires action, or continued access may harm the Services, other users, third-party providers, or the Company.
6. Acceptable Use
You must use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services to upload, store, transmit, share, or process unlawful, infringing, defamatory, fraudulent, abusive, misleading, malicious, or unauthorized material. You must not use the Services to violate intellectual property rights, privacy rights, confidentiality obligations, contractual restrictions, professional rules, court orders, government directions, or any other legal obligation that applies to you.
You must not interfere with the security, integrity, performance, or availability of the Services. This means you must not attempt unauthorized access to accounts, APIs, databases, storage buckets, systems, logs, billing records, or infrastructure; must not bypass access controls, rate limits, entitlement checks, or subscription restrictions; and must not upload malware, ransomware, viruses, scripts, or other harmful code. You must not probe, scan, test, or exploit vulnerabilities without our prior written authorization.
You must not reverse engineer, decompile, disassemble, scrape, crawl, harvest, extract, benchmark abusively, overload, resell, sublicense, lease, commercially exploit, or automate use of the Services except as expressly permitted by us in writing or by product functionality made available for that purpose. You must not impersonate another person or entity, misrepresent your authority, share credentials improperly, create duplicate trial accounts to avoid billing, or use bots or automation tools in a way that harms the Services or other users.
If we suspect a violation, we may investigate and take appropriate action. This may include restricting access, suspending an account, disabling a feature, removing content, preserving records, notifying affected parties, reporting to authorities, blocking abusive traffic, terminating the account, or taking legal action.
7. Subscription Plans, Trial Access, and Entitlements
The Services may be offered under free, trial, paid, limited, or promotional access arrangements. Paid plans may include Starter, Professional, and Firm plans, and the features, usage limits, case limits, storage behavior, client access, document management, analytics, export features, organization seats, agent slots, and other entitlements may vary by plan.
Under the current product policy, indicative plan limits include up to two hundred fifty (250) cases on Starter, up to six hundred fifty (650) cases on Professional, and up to one thousand (1,000) cases per team seat on the Firm plan. On Firm, your organisation’s total case limit is the number of paid team seats multiplied by one thousand — for example, two seats allow up to two thousand (2,000) cases across the firm. You can add more seats later to raise both your team size and case limit. Exact limits, prices, and feature availability are shown in the product and at checkout and may change as described in these Terms.
Where a product trial applies, the default trial period is fourteen (14) days unless a different period is shown in-product or configured by us. During an active trial, some workspaces may receive Professional-equivalent feature access for discovery purposes, while Firm-only features may remain unavailable unless expressly granted. Trial access is temporary, may be limited to eligible accounts, and may be revoked or restricted if we detect abuse, duplicate accounts, circumvention, suspicious activity, or any violation of these Terms.
When a trial ends without an active paid subscription or mandate, the product may enter a grace or restricted state. The current product design includes a seventy-two (72) hour read-only grace window after trial expiry before full lockout for certain flows, subject to server-side entitlement rules and any remote configuration we apply. During grace or restricted access, you may be prevented from creating, editing, importing, uploading, sharing, or otherwise mutating records, although you may still be able to view information for a limited period.
Entitlements are determined by the product and, for sensitive actions, by server-side checks. Interface visibility alone is not a guarantee that an action will succeed. If your account exceeds case limits, seat limits, agent slot limits, storage limits, plan eligibility, payment status, or other entitlement conditions, we may block new activity, restrict access, require an upgrade, require mandate reauthorization, or place the account in read-only or suspended mode.
AI credits
Certain AI-assisted features consume AI credits. Credits are a prepaid or included unit of account for AI processing. They are not money, not a deposit, not a stored-value instrument, and not redeemable for cash. Credits have no independent monetary value, cannot be transferred between accounts or organizations, and cannot be sold, assigned, or exchanged.
Credits reach your workspace in two ways, and the two are treated differently:
(a) Credits included with a plan, trial, or promotion. Paid plans include a monthly allowance of credits, and trials and promotions may include a one-time allowance. An included allowance is granted for a single billing cycle (or, for a trial, for the trial period) and is a use-it-or-lose-it allowance. Included credits do not roll over. Any part of a monthly allowance that is unused when the next monthly grant is made is forfeited, and any unused trial allowance is forfeited when the trial ends, whether or not the trial converts to a paid plan. Included credits may be used only while the workspace has an active paid subscription or an active trial. If a subscription ends, lapses, or is cancelled, the included credits for the cycle already paid for remain available until that cycle would have ended, provided the subscription is reinstated within that period; after that point they expire. Forfeiture of an unused allowance is not a chargeable event, does not entitle you to a refund or credit, and does not reduce the subscription fee for any period.
(b) Credits you purchase or earn. Credits bought as a top-up pack, and credits granted as a referral reward, do not expire. They remain available for as long as your account remains open, including on a free plan and after a paid subscription has ended, and they are not locked when a subscription lapses.
Where a workspace holds both kinds, credits are consumed in order of expiry: the included allowance is used first, then earned referral credits, then purchased credits, so that credits provided at no charge are always spent before credits you paid for.
The number of credits a given AI action consumes is determined by the actual processing cost of that action and may vary between runs of the same feature. The product shows an estimate before a chargeable action and the actual amount consumed after it completes. We may change credit allowances, pack sizes, pricing, expiry rules, and the credit cost of any feature prospectively, as described in these Terms; a change to expiry rules applies only to credits granted after the change takes effect and never retrospectively to credits already in your balance. AI features, credit balances, and credit history are subject to the server-side entitlement checks described above.
8. Billing, Payment Gateway, and Recurring Payment Authorization
Paid subscriptions for IPR Manager are billed in Indian Rupees. Solo workspaces may choose yearly prepaid (one-time payment, no UPI mandate) or monthly billing (UPI mandate with auto-renew). Organisation (Firm) workspaces remain monthly mandate only.
Indicative prices (exclusive of GST; GST is added at checkout). The amounts shown in the product and on the checkout screen at the time you pay are authoritative if they differ from this summary.
| Plan | Monthly (auto-renew) | Yearly prepaid (solo only) |
|---|---|---|
| Starter | ₹499/mo | ₹5,088/yr |
| Professional | ₹799/mo | ₹8,148/yr |
| Firm (per team seat) | ₹1,499/mo per seat | Not available |
Yearly prepaid (solo). If you work alone, you can pay once for the full year instead of setting up monthly auto-renew. Yearly prepaid is priced below twelve monthly payments — currently about 15% less than paying monthly for twelve months (the exact yearly total is shown at checkout). You pay the full yearly amount in one transaction when you complete checkout, including if you are still on a product trial. Your paid access for twelve months generally starts when checkout succeeds, or when your trial ends if you paid during an active trial. Yearly prepaid does not auto-renew; renew manually before or after expiry. Mid-year downgrade (Professional → Starter) is not available on a yearly prepaid term. Upgrade (Starter → Professional) on an active yearly prepaid plan may require a one-time charge for the remaining prepaid days.
Firm (organisation) billing. Firm workspaces use monthly auto-renew only (no yearly prepaid). Each team seat is billed at ₹1,499 per month plus taxes. A new Firm workspace includes two team seats by default — you (the account owner) and one colleague — so your first checkout is typically for two seats. You can invite one additional team member without buying an extra seat first. Need more people? Add seats from Subscription & billing; each added seat increases your monthly charge and your firm-wide case limit.
Monthly mandate (solo or Firm). Recurring debits run according to the plan and seat count shown at checkout. During an active product trial, monthly checkout usually sets up auto-pay only — you are not charged the recurring amount until the trial ends and the first debit runs, as shown in the product.
Checkout and recurring payments may be processed through one or more third-party payment gateways, UPI mandates, banks, payment processors, card networks, and related payment infrastructure. By starting checkout, approving a mandate, upgrading a plan, resuming renewals, adding seats or slots, or maintaining a paid subscription, you authorize recurring debits and related payment attempts according to the plan, billing period, mandate limits, taxes, and other payment details shown to you at checkout or in-product.
Billing identity and GST. Before subscription checkout can start, the product collects a minimum billing profile so tax invoices and ledgers can identify you and your place of supply.
For organisation (Firm) workspaces, this includes billing email, billing contact full name, company or legal name, state or region, and country. GSTIN is optional if you are not registered.
For solo workspaces, this includes your full name (as shown on the invoice), billing address (street or postal address line), state or region, and country. Company or firm name and GSTIN are optional.
Checkout is blocked until this minimum profile is saved. You may keep a separate, fuller address elsewhere in the product (for example IPO filing correspondence on a case); that does not replace the subscription billing address above. How GST is computed and what appears on invoice-style records is summarised in the Billing and tax invoice template.
You are responsible for maintaining a valid payment method, keeping mandates active, ensuring sufficient balance or payment authorization, keeping billing information accurate, and monitoring payment notifications from your bank, UPI app, card issuer, or payment provider. We do not control bank declines, UPI failures, mandate revocations, third-party outages, issuer restrictions, or payment-provider processing timelines.
The authoritative subscription amount, tax breakdown, recurring amount, seat or slot cost, and mandate limit are determined server-side at payment time. GST or other applicable taxes may be added where required. The current billing architecture may calculate a mandate maximum amount for recurring charges and round it up to the next INR 500 slab, subject to platform caps and provider limits. This mandate maximum is not itself an immediate charge; it is the permitted upper authorization for future recurring debits under the mandate.
Subscription billing events, payment attempts, payment-provider responses, ledger rows, webhook events, reconciliation events, support traces, and user-visible payment history may be recorded in billing systems and timelines. These records are part of the operational and legal history of the subscription and may be retained as described in the Privacy Policy, even after account deletion or termination.
9. Renewals, Cancellations, Upgrades, Downgrades, and Plan Changes
Paid subscriptions renew automatically unless cancelled or otherwise changed in accordance with the product flow and payment-provider mandate lifecycle. If cancellation is available in-product, scheduling cancellation generally means that you retain access until the end of the then-current billing period unless the product states otherwise, but future recurring debits stop according to the mandate and provider process.
If a subscription is in a cancellation-scheduled state and the product offers a "Resume renewals" or similar action, using that action may start a fresh mandate setup or checkout flow so that billing can continue without ambiguity. You may need to reauthorize payment if the earlier mandate has been cancelled, limited, or otherwise cannot be reused.
Upgrades may take effect immediately or at another time shown in-product. They may require a one-time charge, prorated adjustment, mandate reuse, or fresh mandate setup depending on the plan, remaining cycle duration, current mandate cap, and server-side billing rules. If a projected recurring amount exceeds the existing mandate maximum, reauthorization may be required before the increased entitlement is granted. If three (3) days or fewer remain in the current billing cycle, the product may skip a one-time proration charge and apply the upgraded recurring amount from the next cycle.
Downgrades generally take effect from the next billing cycle and do not create overlapping active subscriptions. In particular, Professional to Starter downgrades are next-cycle only under the current product policy, and the product may allow an undo only until twenty-four (24) hours before the scheduled effective time. A downgrade may reduce features, seats, case limits, storage behavior, client sharing, document management, analytics, export access, or other functionality. Existing uploaded documents may remain viewable after a downgrade where the product permits, but new uploads, visibility changes, or version mutations may be blocked on lower tiers.
Switching between monthly and yearly billing (solo only). If you are on a monthly mandate plan, you can move to yearly prepaid only after the current monthly billing period ends — the product shows the earliest date on the Subscription page. If you are on yearly prepaid, you cannot switch to monthly billing until your prepaid term ends; yearly plans are paid upfront for the full term. Firm workspaces cannot use yearly prepaid.
For the current seat model, Starter and Professional are for a single practitioner — one person, one seat. The Firm plan is for shared firm workspaces: each team seat lets one staff user join (or hold an agent profile, depending on how you use the product). Firm includes two seats in the base package (owner plus one colleague); additional seats can be purchased monthly. We do not allow two active paid subscriptions for the same billing account at the same time. Plan changes are confirmed at checkout and by your payment provider.
10. Failed Payments, Pending Verification, and Reconciliation
If a payment fails, is declined, is reversed, cannot be verified, or cannot be processed for any reason, we may retry payment, send reminders, ask you to update or reauthorize payment, restrict paid features, move the account to limited or read-only mode, suspend access, revoke premium entitlements, or terminate the Services.
Payment success at the payment provider and internal subscription activation are separate asynchronous events. A payment may appear pending, successful, failed, or unknown at different points across the provider, bank, webhook, and internal subscription systems. Where a payment or mandate requires verification, the product may place the subscription into a pending verification or reconciliation state. The current product treats reconciliation_required as an unresolved verification state, not as a final payment failure.
While reconciliation is pending, we may temporarily carry forward the previous entitlement for a limited period, currently expected to be up to two (2) hours unless configured otherwise. After that period, the account may move to read-only or restricted access until reconciliation completes. If reconciliation confirms success, the canonical subscription state and entitlements may be restored. If reconciliation confirms failure or remains unresolved, restrictions may continue until you complete a valid payment or support-assisted recovery.
To avoid duplicate charges or conflicting mandates, we may block duplicate checkout, setup, or retry attempts while unresolved transactions exist, including pending checkout, pending mandate, or reconciliation-required states. The current product policy includes a default cooldown of thirty (30) minutes from the latest unresolved attempt, subject to support or administrative override where appropriate. If the product tells you that payment confirmation is in progress, you should not retry payment unless the product or support team instructs you to do so.
We are not responsible for consequences arising from failed payments, restricted access, delayed provider confirmation, user retries contrary to guidance, provider outages, bank issues, or mandate failures, except to the extent liability cannot be excluded under applicable law.
11. Refund and Cancellation Policy
Refunds and cancellations are governed by the Refund and Cancellation Policy. In the current product policy, refund requests are reviewed manually and should generally be raised within seven (7) days of the relevant purchase or renewal charge unless a different period is expressly stated at checkout or required by law.
Subscription fees are not automatically refundable merely because you did not use the Services, forgot to cancel, changed your business requirements, downgraded after renewal, no longer need a paid plan, or did not use an included AI credit allowance before it expired. We may consider refunds, credits, corrections, or reversals in limited circumstances such as duplicate transactions, verified unauthorized transactions, technical billing errors, materially defective or unavailable service, or exceptional cases approved after review. Submission of a request does not guarantee approval.
Approved refunds will be credited to your original payment method within seven (7) days of approval, subject to verification and any additional timelines required by your bank, UPI app, card issuer, or payment provider. Third-party payment provider rules may also affect whether, when, and how a refund can be processed.
Case archive (staff workspace)
When you archive a case in IPR Manager (the product may label this action "Delete" or "Archive"), the case is removed from active operational views (cases list, deadlines, dashboard) but remains stored in your workspace. Archived cases still count toward your subscription case limits (Starter 250, Professional 650, Firm 1,000 cases per team seat — for example, 2,000 cases when your firm has two seats). Linked tasks are archived with the case; invoices and documents remain on file; client portal access to that case is suspended until you restore it. Draft invoices cannot be sent while the parent case is archived. Restoring a case returns it to active lists. Permanent removal of case data occurs only under account or workspace deletion described elsewhere in these Terms, not through routine staff archive.
12. User Content, Ownership, and Your Responsibilities
You retain ownership of the files, records, documents, case information, notes, party details, client information, billing details, communications, uploads, attachments, AI-generated outputs, and other materials that you or your users submit to or generate through the Services ("User Content"). We do not claim ownership of your User Content.
You grant us a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, display, back up, secure, analyze for operational purposes, and otherwise use User Content only as reasonably necessary to provide, maintain, support, secure, improve, troubleshoot, and operate the Services; comply with legal obligations; enforce these Terms; investigate abuse; and protect the Services, users, and the Company.
You represent that you have all rights, permissions, consents, professional authority, client authorization, and legal basis required to upload, store, process, and share User Content through the Services. You are responsible for ensuring that User Content is accurate, lawful, non-infringing, authorized, complete, and appropriate for the users with whom it is shared.
You are responsible for maintaining independent backups of important records. Although the Services may include storage, recovery, retention, and backup mechanisms, they are not a substitute for your professional recordkeeping obligations or your own backups. We do not guarantee that any particular record can be restored after deletion, account closure, subscription expiry, technical failure, or expiration of the applicable retention period.
Data export on request. You remain the owner of your User Content. If you need a copy of your case records, uploaded documents, or related account information—for example before you cancel, downgrade, or close your account—you may request a data export by writing to support@iprmanager.com from the email address on your account, or from an authorised organisation owner or administrator where applicable. A fee applies to export-on-request work. We will confirm the applicable fee (including any fixed fee we publish for standard exports, or a quote for larger accounts) before we begin preparing your export. We will verify your identity and authority before processing the request. We will use reasonable efforts to provide the export in a commonly usable format within a reasonable time after payment where required, depending on the size of your account and what the Services can produce at the time of the request. This export-on-request service is separate from features you may already use in the application, such as downloading prefilled forms or individual documents at no extra charge under your plan. We may decline or limit requests that are abusive, repetitive, technically impractical, or incompatible with law or these Terms, and we will explain the reason where appropriate.
We do not routinely review User Content for accuracy, legality, completeness, privileged status, confidentiality, or professional sufficiency. We are not responsible for errors, omissions, unauthorized disclosures caused by user action, inaccurate imports, incorrect case records, document corruption, business consequences, or legal consequences arising from User Content, except to the extent liability cannot be excluded by law.
13. Data Storage, Security, Monitoring, and Infrastructure
The Services rely on third-party infrastructure and service providers, including Firebase, Google Cloud infrastructure, payment gateways, authentication systems, communication providers, analytics systems, monitoring tools, and other vendors that support platform operations. The application infrastructure is intended to operate primarily in India where configured for the production environment, but certain third-party providers may process operational metadata, support data, or technical information according to their own infrastructure and legal requirements.
We implement commercially reasonable technical and organizational measures intended to protect the Services and user information. These may include authentication controls, access restrictions, transport-layer encryption, role-based access controls, infrastructure protections, monitoring, logging, audit processes, error reporting, abuse detection, and operational security practices.
No internet-based service can be guaranteed fully secure. No method of transmission, storage, authentication, monitoring, or backup is immune from compromise, interruption, error, misuse, or unauthorized access. You acknowledge that use of the Services involves inherent security and operational risks, and you are responsible for using strong credentials, controlling user access, reviewing sharing settings, maintaining backups, and reporting suspected incidents promptly.
Authorized internal personnel and service providers may access limited account information, metadata, logs, billing records, support information, or User Content where reasonably necessary for support, maintenance, abuse investigation, operational administration, security review, legal compliance, billing operations, debugging, migration, or infrastructure management. We may log, monitor, audit, preserve, or review activity where reasonably necessary for those purposes.
14. Data Retention, Account Deletion, and Closure of Access
You may request account deletion or use self-serve deletion tools where the product makes them available. For a solo practitioner workspace, the signed-in account holder may be eligible to request deletion. For an organization workspace, the current product policy allows only the organization owner to start and cancel the organization deletion request. Other administrators and members may not be able to initiate or cancel that request.
An account or organization deletion request may begin a thirty (30) day grace period before permanent removal of in-scope workspace data. During that grace period, normal use of the Services may be suspended, frozen, or restricted. If an organization owner requests deletion, other staff in that organization may also experience restricted access until the request is cancelled or the grace period completes. A scheduled reminder may be sent before deletion completes where the product supports it.
Subject to product behavior and legal exceptions, deletion may remove user profile data and application data associated with the relevant account or workspace. For a solo account, this may include solo cases, related deadline rows, party records, solo agent profiles, and import job records tied to that user. For an organization workspace, deletion behavior depends on the organization state, owner status, remaining members, and implemented product rules.
We may retain billing records, subscription records, ledger rows, webhook events, payment-provider references, tax records, support records, abuse records, security logs, audit logs, backup copies, aggregated analytics, anonymized data, and other records where retention is required or reasonably necessary for legal, tax, accounting, dispute resolution, fraud prevention, security, compliance, or legitimate business purposes. Residual backup copies may persist temporarily after deletion from active systems.
You are responsible for exporting or saving any material you need before access ends, including by requesting a data export under section 12 while your account still has access. We are not obligated to restore deleted information after applicable retention periods expire. If you cancel a deletion request after a payment mandate has been limited, cancelled, or otherwise affected, you may need to re-establish billing authorization before paid access can continue.
Self-serve leave organization and ownership transfer are not available in the current version unless and until expressly added to the product. Organization exit, owner succession, and data access consequences may therefore require administrator or support-assisted handling.

Your use of third-party services may be subject to separate terms, privacy policies, provider rules, banking rules, or government requirements. If a third-party provider changes, restricts, suspends, or discontinues its service, we may need to modify, restrict, suspend, or discontinue related IPR Manager functionality.
17. Availability, Maintenance, and Modifications
We aim to operate the Services reliably, but we do not guarantee uninterrupted, error-free, secure, or continuously available operation. The Services may be unavailable, degraded, delayed, or interrupted due to scheduled maintenance, emergency maintenance, infrastructure failures, software defects, migrations, security incidents, internet disruptions, third-party outages, payment-provider issues, government actions, force majeure events, or other technical and operational limitations.
We may change interfaces, workflows, labels, features, plans, eligibility rules, limits, prices, provider integrations, support channels, or operating methods from time to time. Reasons may include abuse, fraud, suspected compromise, payment failure, unresolved billing issues, security risk, legal compliance, Terms violations, harmful activity, provider requirements, infrastructure protection, account deletion, or operational necessity.
Suspension or termination may restrict your access to data, features, billing flows, exports, uploads, document downloads, client portal sharing, or other functionality. Termination does not eliminate payment obligations already incurred, refund limitations, indemnity obligations, confidentiality obligations, intellectual property restrictions, liability limitations, or any other provisions that by their nature should survive termination.
